These Terms and Conditions govern your use of the Pryntco Print Design & Signs website and your purchase of printing, design, signage and related products or services from Pryntco.
In these Terms, “Pryntco,” “we,” “us” and “our” refer to Pryntco Print Design & Signs. “Customer,” “you” and “your” refer to the person or organization using our website, requesting a quote or placing an order.
By accessing our website, creating an account, approving a proof, submitting payment or placing an order, you agree to these Terms and Conditions.
Nothing in these Terms limits any rights or remedies that cannot legally be limited under applicable consumer-protection or other laws.
ORDERS AND ACCEPTANCE
An order is not considered accepted until Pryntco has reviewed the order information, confirmed the applicable pricing and received any required payment, deposit, artwork or proof approval.
We may contact you if an order contains incomplete information, artwork problems, unavailable options, incorrect pricing or production requirements that must be clarified before work begins.
Pryntco reserves the right to decline or cancel an order where:
- The requested product or service is unavailable
- Pricing or product information contains a clear error
- The artwork does not meet production requirements
- The order contains unlawful, harmful or infringing material
- Payment cannot be authorized or verified
- The order cannot reasonably be produced as requested
If Pryntco cancels an order after receiving payment and production has not begun, the amount paid for the cancelled portion will be returned using the original payment method where reasonably possible.
PRICING, QUOTES AND PAYMENT
Unless otherwise stated, prices are shown in Canadian dollars and do not include applicable taxes, delivery, installation, design services or optional upgrades.
Any mandatory charges known at the time of purchase will be disclosed before the order is completed.
Prices may change without notice. A quote is valid only for the period stated on that quote and applies only to the quantities, specifications, materials, production requirements and services described in it.
Changes to quantity, size, stock, finishing, artwork, delivery, installation or turnaround time may result in revised pricing.
Payment may be required in full before production begins. Certain custom projects may require a deposit, with the remaining balance due according to the applicable quote, invoice or written agreement.
Pryntco may pause production, withhold completed products or delay delivery when an amount remains unpaid.
CUSTOMER-SUPPLIED ARTWORK AND FILES
Customers are responsible for supplying artwork in a format suitable for production unless design or file-preparation services are included in the order.
Customer-supplied files should meet the requirements communicated by Pryntco, which may include:
- Correct dimensions and orientation
- Required bleed and safety margins
- Adequate image resolution
- Embedded or outlined fonts
- Appropriate colour settings
- Correct page count and panel order
- Suitable file formats
Pryntco may identify obvious technical issues, but we are not responsible for proofreading or detecting every spelling, grammar, contact-information, image-quality, layout or design error in customer-supplied files.
Additional charges may apply when artwork needs to be corrected, recreated, resized, reformatted or prepared for production. Pryntco will obtain approval before completing significant additional work that changes the quoted price.
PROOFS AND CUSTOMER APPROVAL
Pryntco may provide a digital or physical proof before production. A proof is intended to show the general layout, content, positioning and production setup.
The customer is responsible for carefully reviewing the proof, including:
- Spelling and grammar
- Names, addresses, telephone numbers and website information
- Dates, prices, quantities and product details
- Images, logos and design placement
- Page order, folds, cuts and orientation
- Overall dimensions and finishing instructions
Approval of a proof authorizes Pryntco to begin production. Once approved, the customer accepts responsibility for errors visible in that proof.
Changes requested after proof approval may result in additional charges and a revised production schedule.
COLOUR AND MATERIAL VARIATIONS
Colours displayed on a monitor or mobile device may not exactly match the final printed product. Screens use light to display colour, while printing uses inks, toners, materials and production equipment.
Reasonable colour differences may also occur between:
- Separate production runs
- Different paper stocks or materials
- Coated and uncoated surfaces
- Digital and offset printing
- Indoor and outdoor products
- Printed samples and screen previews
Paper, vinyl, fabric, plastic and other materials may also have minor variations in texture, thickness, shade, finish or appearance.
A specific colour match must be discussed before ordering and may require a physical proof, colour sample or specialized production process at an additional cost.
DESIGN SERVICES
When Pryntco provides graphic-design or file-preparation services, the included number of concepts, revisions and deliverables will be described in the quote or Scope of Work.
Additional revisions, new directions, rewritten content, replacement images or changes outside the approved scope may require additional fees.
Design work remains the property of Pryntco until all related invoices have been paid in full.
Unless otherwise agreed in writing, the customer receives the right to use the final approved design for its intended purpose. Editable source files, working files, fonts, licensed assets and unused concepts are not automatically included.
CUSTOMER CONTENT AND INTELLECTUAL PROPERTY
By submitting artwork, logos, photographs, text, trademarks or other materials, the customer confirms that they own the material or have permission to reproduce and use it.
The customer authorizes Pryntco and its production partners to use the supplied material only as reasonably required to prepare, produce, deliver, support or reproduce the customer’s order.
Pryntco may refuse material that appears to:
- Violate copyright, trademark, privacy or publicity rights
- Contain unlawful, fraudulent or defamatory content
- Promote illegal activity
- Impersonate another person or organization
- Otherwise expose Pryntco to unreasonable legal or reputational risk
The customer is responsible for claims arising from content supplied or approved by the customer.
PRODUCTION TIMES
Production times are estimates unless Pryntco expressly confirms a guaranteed deadline in writing.
Production normally begins only after:
- The order specifications have been confirmed
- Required payment has been received
- Production-ready artwork has been supplied
- Any required proof has been approved
Business days do not include weekends, statutory holidays or days when Pryntco is closed.
Customer delays involving payment, files, approvals, revisions or responses may extend the completion date.
Rush production is subject to availability and may involve additional charges. A rush production time does not necessarily include delivery or courier transit time.
DELIVERY, SHIPPING AND PICKUP
Delivery and shipping dates are estimates unless otherwise confirmed in writing.
Pryntco is not responsible for delays caused by incorrect delivery information, unavailable recipients, weather, transportation interruptions, carrier delays or events outside our reasonable control.
Customers are responsible for providing a complete and accurate delivery address. Additional shipping or handling charges may apply when an order must be redirected or delivered again because of incorrect information or an unsuccessful delivery attempt.
Customers should inspect delivered or collected orders promptly and notify Pryntco as soon as reasonably possible if a package appears damaged, incomplete or incorrect.
Pickup orders must be collected from the location identified in the order confirmation. Identification or proof of purchase may be requested.
ORDER CHANGES AND CANCELLATIONS
Contact Pryntco immediately when requesting a change or cancellation.
An order may be changed or cancelled without production charges only when work has not yet begun and no non-refundable materials, services or third-party costs have been committed.
Once design, prepress, proofing, production, finishing, installation or special material ordering has started, the customer is responsible for the work completed and costs incurred.
Custom orders cannot normally be cancelled after production begins.
Any approved refund may be reduced by design fees, setup charges, payment-processing costs where legally permitted, special-order materials, completed production work or other non-recoverable expenses.
RETURNS, REFUNDS AND CUSTOM PRODUCTS
Most Pryntco products are customized using customer-selected quantities, sizes, materials, artwork and finishes. Custom products cannot normally be returned or refunded because the customer changed their mind, ordered the wrong quantity or approved incorrect information.
This restriction does not apply where a refund, cancellation or other remedy is required by applicable law.
A request for a refund does not automatically mean that the order qualifies for a refund. Pryntco will review the circumstances, production status and applicable legal requirements.
PRINTING ERRORS, DEFECTS AND REPRINTS
Contact Pryntco as soon as reasonably possible if you believe an order contains a manufacturing defect, was produced differently from the approved specifications or contains an error caused by Pryntco.
We may request:
- Photographs showing the issue
- The order or invoice number
- A description of the affected quantity
- Return or inspection of some or all of the product
If Pryntco confirms that it caused a material production error, Pryntco will provide an appropriate remedy, which may include correcting the work, reprinting the affected quantity, providing a credit or issuing a partial or full refund.
The appropriate remedy will depend on the nature and extent of the issue, subject to rights available under applicable law.
Pryntco is not normally responsible for:
- Errors present in customer-supplied or customer-approved artwork
- Information approved through a proof
- Low-resolution or unsuitable customer files
- Expected screen-to-print colour differences
- Minor variations considered normal for the printing process or material
- Damage occurring after pickup or successful delivery
- Improper installation, handling, storage or use by the customer or another party
Customers should not dispose of the affected products before Pryntco has reviewed the claim.
INSTALLATION SERVICES
Where installation is included, the customer is responsible for providing safe, timely and reasonable access to the installation location.
The customer must disclose relevant site conditions, restrictions, measurements, surface problems, permits, building rules and hazards before installation.
Additional charges may apply for inaccurate measurements, unsuitable surfaces, restricted access, delays, return visits, special equipment or work not included in the original quote.
Pryntco may postpone or stop installation when conditions are unsafe or materially different from the information provided.
CUSTOMER ACCOUNTS
Customers are responsible for maintaining the confidentiality of their account credentials and for activity occurring through their accounts.
You must provide accurate account and order information and promptly update information that changes.
Contact Pryntco immediately if you believe an account has been accessed without authorization.
Pryntco may suspend or close an account where there is suspected fraud, unauthorized activity, misuse of the website, non-payment or a violation of these Terms.
WEBSITE INFORMATION AND AVAILABILITY
Pryntco makes reasonable efforts to keep website descriptions, images, prices, turnaround times and availability accurate.
However, occasional typographical, technical, pricing or display errors may occur. We may correct an error and contact the customer before accepting or producing the affected order.
Product images are provided for general illustration. The final product may vary based on selected specifications, materials, finishing, artwork and production processes.
We do not guarantee that the website, customer accounts, upload tools or ordering functions will always operate without interruption or error.
PROHIBITED WEBSITE USE
You may not:
- Use the website for unlawful or fraudulent purposes
- Attempt to gain unauthorized access to an account or system
- Upload viruses, malicious code or harmful files
- Interfere with the operation or security of the website
- Copy or exploit website content without permission
- Use automated systems to overload, scrape or disrupt the website
- Submit false identity, billing, payment or order information
PRIVACY
Pryntco’s collection, use and disclosure of personal information is governed by our Privacy Policy.
By using our website or placing an order, you acknowledge that your information will be handled as described in that policy and as reasonably required to provide the requested products and services.
LIMITATION OF LIABILITY
To the maximum extent permitted by law, Pryntco will not be responsible for indirect, incidental, special or consequential losses arising from an order, website interruption, production delay or product issue.
This may include lost profits, lost revenue, loss of opportunity, loss of data or the cost of replacement advertising, events or campaigns.
Where liability cannot be excluded, Pryntco’s responsibility will be limited to the remedy required by law or, where legally permitted, the amount paid for the affected product or service.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
EVENTS OUTSIDE OUR CONTROL
Pryntco will not be responsible for a delay or failure caused by events outside our reasonable control, including severe weather, fire, flood, power failure, equipment breakdown, labour disruption, transportation interruption, supply shortage, government action, public emergency, internet outage or failure of a third-party provider.
We will make reasonable efforts to communicate significant delays and complete the affected work when reasonably possible.
GOVERNING LAW
These Terms and Conditions are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.
Any dispute will be handled by the courts with jurisdiction in Ontario, unless applicable law gives the customer the right to bring the matter in another jurisdiction.
SEVERABILITY
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
NO WAIVER
A delay or failure by Pryntco to enforce a provision of these Terms does not waive our right to enforce it later.
CHANGES TO THESE TERMS
Pryntco may update these Terms to reflect changes in our products, services, website, business practices or legal obligations.
The updated version will be posted on this page with a revised “Last updated” date.
The Terms in effect when an order is accepted will normally govern that order unless a change is required by law or agreed to by both parties.
